NOTICE OF ANNUAL GENERAL MEETING

OF THE

 KELOWNA YACHT CLUB

LOCATION: In person – Kelowna Yacht Club or Online – Via Zoom 
MEETING START TIME:  7:00 PM PST

Please note, you will be required to log into your Member Account in order to access any AGM documents. If you require assistance, please contact Member Services at info@kelownayachtclub.com.

Please note, the voting instructions and registration for attending the AGM follow the business of the meeting.

The purpose of the Meeting is to consider the following items:

  1. Approval of February 28, 2022 Annual General Meeting Minutes
  2. Presentation of Auditor Report & Audited Financial Statements
  3. Appointment of Auditors
  4. Director Elections
  5. Special Business – Explanatory Document for Bylaw Changes

                The Board of Directors recommends the adoption of the following Special Resolutions which are proposed for consideration by the  Membership:

  1. “Motion to approve the following changes to Kelowna Yacht Club Bylaws such that:

‘crossed out text is deleted and underlined text is added to the language of the Bylaws:
                    Please see Appendix A: Editorial Bylaw Amendments”

  1. “Motion to approve the following changes to Kelowna Yacht Club Bylaws such that:

‘crossed out text is deleted and underlined text is added to the language of the Bylaws:
                    Please see Appendix B: Bylaw Amendments”

  1. Approval of Life Member Recipient

ELECTRONIC VOTING INSTRUCTIONS

Voting for the Annual General Meeting will occur by electronic voting from February 23, 2023 at 12:00 PM PST to February 28, 2023 at 6:00 PM PST.

An electronic voting invitation will be sent to all primary voting Members in good standing on February 23, 2023 with further detailed instructions on how to vote. All primary voting members in good standing will be emailed a unique access key which can only be used to vote once, and your voting choices will remain anonymous. Results of all electronic votes will be presented and declared at the Annual General Meeting on February 28, 2023.

Please note, voting for this Annual General Meeting will be done entirely electronically. The vote for this Annual General Meeting will be conducted in accordance with Bylaw 22b and 28e.

The Annual General Meeting will be held both in person, and virtually via Zoom.

Doors Open: 6:15 PM PST

Virtual Attendance:

Registration is required in order to join the Annual General Meeting virtually.
